At the time of its SEC filing, the fund had already raised $43.2 million from 74 accredited investors. The minimum investment of $500,000 required on the placement can be waived. The Portfolio Strategy Group Inc. and Gerard Klauer Mattison & Co. Inc., both of New York, are working as placement agents for $230,000 in sales commission. The fund intends to invest in securities.

HealthCare Ventures VII LP of Princeton, N.J., has filed to raise $350 million through an offering of limited partnership interests. At the time of its SEC filing, the fund had already raised $277 million from 18 accredited investors. A minimum investment of $50,000 is required on the placement. The fund intends to invest in seed, startup, early-stage and public life sciences companies.

USB Focus Fund VI LLC of Lincoln, Mass., has filed to raise $507,000 through an offering of limited partnership interests. At the time of its SEC filing, the fund had already raised $223,333 from six accredited investors. U.S. Boston Capital Corp. of Lincoln, Mass., is acting as an agent on the placement.

Cadmus Capital Partners (QP) LP of New York has filed to raise $1 billion through an offering of limited partnership interests. At the time of its SEC filing, the fund had already raised $8.7 million from nine accredited investors. The minimum investment of $1 million required on the placement can be waived. The partnership intends to operate as an event driven equity-focused fund.

Geduld Capital Partners LP of Atlanta has filed to raise $100 million through an offering of limited partnership interests. The minimum investment of $250,000 required on the placement can be waived. The fund intends to invest in securities.

HarbourVest Partners VII-Mezzanine Fund LP of Wilmington, Del., has filed to raise $1 billion through an offering of limited partnership interests. At the time of its SEC filing, the fund had already raised $158.8 million from 15 accredited investors. The minimum investment of $10 million required on the placement can be waived. The fund intends to make investments in a diversified pool of mezzanine, distressed and venture debt and special situation transactions.

Boldwater Credit Opportunities Fund I LP of Boston has filed to raise $300 million through an offering of limited partnership interests. At the time of its SEC filing, the fund had already raised $9 million from 14 accredited investors. The minimum investment of $1 million required on the placement can be waived. The fund intends to operate as a private investment limited partnership.

Farview Fund LP of New York has filed to raise $2 million through an offering of limited partnership interests. A minimum investment of $200,000 is required on the placement. The fund intends to invest in privately-held securities.
