AssetStar Terms and Conditions

Your use of our service (the “Service”) which provides access to periodically updated [risk reports] (referred to collectively as “Reports” in this document and excluding any services provided to you by us under a separate written agreement) is subject to the terms of this legal agreement between you and us, as amended from time to time (this “Agreement”). You may not use the Service if you do not accept this Agreement. You can accept this Agreement by clicking to accept and agree to this Agreement, where this option is made available to you by us in the user interface for any service; or by actually using the Report. See below for more information about accepting this Agreement. Other capitalized terms have the meaning given them below in Section
These terms of use (“Terms”) apply to the use of the Service and access to and use of one or more Reports by any individual who accesses them at peHUB.com or affiliated web sites (“Permitted User”, “you” or “your”). This agreement (“Agreement”) includes each set of terms which you are required to accept prior to being given access to one or more Reports and the content contained in, or linked with, such report (the “Content”).

These Terms constitute a legally binding agreement between you, peHUB – a unit of Thomson Reuters (“Thomson Reuters”) and AARM Corporation (“AARM”) (Thomson Reuters and AARM are collectively referred to herein as “we” or “us.”) You covenant, represent and warrant that you have any and all authorizations as may be necessary to enter into this Agreement, that the information you may provide is true and accurate, and that your use of the Reports does not violate any applicable law. We may change the Terms at any time and will notify you electronically (including, without limitation, by email or by posting a notice on the Reports that the Terms have been “updated”). Your continued use of the Reports will be deemed an acceptance of such amended or modified Terms.

  1. License: Restrictions on Use
    1. The Permitted User may:
      1. access Reports for his/her own use; and
      2. Include in internal reports and/or reports to customers, on an occasional and infrequent basis, provided it is only offered as redirected links to the entire Report, and provided that such articles (or portions of articles) are properly attributed to AARM and the relevant authors. This applies unless given specific permission for any other type of use by us.
    2. The Permitted User shall NOT:
      1. Reproduce, distribute, display, sell, publish, broadcast or circulate the Reports or Content to any third party (other than as authorized in section 1(a)(ii)), nor make the Content available for any such use.
      2. Remove, conceal or alter any copyright notices contained in a Report or the Content;
      3. Use or permit the use of Reports and/or Content to prepare an original database or a comparison to other databases that are sold, rented, published, or furnished in any manner to a third party;
      4. Use or permit the use of the Reports and/or Content for the purpose of compiling, enhancing, verifying, supplementing, adding to, or deleting from any mailing list, business directory, or other compilation of information that is sold, rented, published or furnished in any manner to a third party;
      5. The Permitted User may not on a regular basis, or an irregular but frequent basis, distribute more than a few data points from any Report to any individuals;
      6. If applicable, share the password with any third party or additional party.
      7. Download, store and create copies of analysis to develop or operate an automated trading or valuation system or for data or text mining;
      8. rearrange or modify the Content or create abstracts from, scrape or display our content for use on a web site or other service;
      9. post any content from the Service (to weblogs, newsgroups, mail lists or electronic bulletin boards, public or private) without following the terms laid out in aforementioned sections.
      10. The Permitted User shall comply with any additional restrictions notified by means of any on-screen notices contained within an article of information to which additional restriction relates.
  2. Reservation of Rights. Except as specifically provided in Section 1(a) above, Permitted User is prohibited from downloading, storing, reproducing, transmitting, displaying, copying, distributing, or using Content retrieved from Reports.
  3. Privacy. To the extent any data and other information about you is provided in connection with your access to and use of The Risk Report you will be subject to AARM Privacy Policy.
  4. Third Party Web sites. We may link to, or promote, web sites or services from other companies via our site. You agree that we are not responsible for, and do not control, those web sites or services and that you may be subject to the terms of use of such web sites.
  5. Ownership of Intellectual Property: Except as provided herein, the information available through Reports is the property of AARM, or Thomson Reuters and/or their licensors, and is protected by copyright and other intellectual property laws. All right, title, and interest (including all copyrights and other intellectual property rights) in the Content (in both print and electronic forms) belong to AARM, or Thomson Reuters and/or their third party licensors of content. Permitted User acquires no proprietary interest in Reports, Content, or copies thereof.
  6. Ownership of the Service. Subject to the limited rights expressly granted hereunder, we reserve all rights, title and interest in and to the Service, including all related intellectual property rights. No rights are granted to you hereunder other than as expressly set forth herein.
  7. No Violation of Third-Party Rights. Except as specifically provided herein, Permitted User may not use the Reports or Content in any fashion that infringes the copyrights or proprietary interests of third parties therein.
  8. Copyright Notices. Permitted User may not remove or obscure the copyright notice or other notices contained in Risk Report or Content.
  9. Duration; Discontinuation of Service. For one year after purchase, Permitted User shall continue to have access through the Service to any Report (which are periodically updated) that Permitted User purchases. Thomson Reuters or AARM may suspend or discontinue providing Reports to Permitted User without notice, revoke all rights granted to the Reports herein, and pursue any other remedy legally available to it if Permitted User fails to comply with any of its obligations hereunder.
  10. NATURE OF SERVICE. WE ARE NOT PROVIDING LEGAL, TAX OR FINANCIAL ADVICE THROUGH THE SERVICE. WE ARE NOT A FINANCIAL PLANNER, BROKER OR TAX ADVISOR. The Service is intended only to assist you in your financial decision-making and is broad in scope. Your personal financial situation is unique, and any information and advice obtained through the Service may not be appropriate for your situation. Accordingly, before making any final decisions or implementing any financial strategy, you should consider obtaining additional information and advice from your accountant or other financial advisers who are fully aware of your individual circumstances.
  11. PRIVACY AND YOUR PERSONAL INFORMATION. For information about our data protection practices, please read the AARM Privacy Policy, which is hereby incorporated into this Agreement. This policy explains how we treat your personal information when you access the Service. The policy may be updated from time to time at our discretion. Changes will be effective upon posting to the site.
  12. DISCLAIMER OF WARRANTIES. YOU ACKNOWLEDGE AND AGREE THAT YOUR ACCESS TO AND USE OF THE REPORTS AND CONTENT ARE PROVIDED ON AN “AS IS”, “AS AVAILABLE” BASIS AND THOMSON REUTERS, AARM AND THEIR LICENSORS EXPRESSLY DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, INCLUDING ANY REPRESENTATIONS OR WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
  13. LIMITATION OF LIABILITY. AARM, THOMSON REUTERS AND ITS SUBSIDIARIES, AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES AND LICENSORS (THE “AARM/THOMSON REUTERS PARTIES”) WILL NOT BE LIABLE (JOINTLY OR SEVERALLY) TO YOU OR ANY OTHER PERSON AS A RESULT OF YOUR ACCESS TO OR USE OF THE REPORTS FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST SAVINGS AND LOST REVENUES (COLLECTIVELY, THE “EXCLUDED DAMAGES”), WHETHER OR NOT CHARACTERIZED IN NEGLIGENCE, TORT, CONTRACT, OR OTHER THEORY OF LIABILITY, EVEN IF ANY OF THE AARM/THOMSON REUTERS PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN ANY OF THE EXCLUDED DAMAGES, AND IRRESPECTIVE OF ANY FAILURE OF AN ESSENTIAL PURPOSE OF A LIMITED REMEDY. IF ANY APPLICABLE AUTHORITY HOLDS ANY PORTION OF THIS SECTION TO BE UNENFORCEABLE, THEN THE AARM/THOMSON REUTERS PARTIES’ LIABILITY WILL BE LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BY APPLICABLE LAW.
  14. Notices. Other than as set out below, all notices shall be in writing, and delivered by facsimile or electronic mail, to the addresses stipulated by each party. Notice shall be deemed received on the date actually received.
  15. General, Choice of Law. This Agreement shall be governed by, construed and take effect in accordance with the laws of the State of New York, applicable to contracts made entirely within New York and wholly performed in New York, without regard to any conflict or choice of law principles. The sole jurisdiction and venue for any litigation arising out of this Agreement will be an appropriate federal or state court located in New York.
