Bain Capital plans to launch a $445 million tender offer for D&M Holdings Inc., the Japanese maker of Denon audio equipment, from Ripplewood Holdings and its publicly-traded affiliate.

Baker Capital has sold its 40 percent stake in IQNavigator, a Denver-based provider of services procurement software and managed service programs, to GTCR Golder Rauner and company management. Also selling out were IQNavigator shareholders The Hillman Company, Sequel Venture Partners and Raeder Venture Fund. No financial terms were disclosed. GTCR originally announced its investment earlier this month, but did not say if it bought out any existing backers.

Diamond Castle Holdings has agreed to buy York Label from Wind Point Partners, for an undisclosed amount. York Label is an Omaha, Neb.-based provider of labeling and packaging solutions to the food, beverage, consumer products and pharmaceutical markets.

LBO France reportedly has acquired a one-third equity stake in French energy business Converteam from Barclays Private Equity. The deal values Converteam at approximately €2 billion, with Barclays retaining a two-thirds ownership position.

Segulah has acquired European bakery Almondy from Smedvig Capital. No financial terms were disclosed.

Sun Capital Partners has acquired Sunrise Growers-Frozsun Foods, a Placentia, Calif.-based supplier of frozen and fresh strawberries, from Heritage Partners. No financial terms were disclosed. MHT Partners advised Heritage on the sale.

Thompson Street Capital Partners has acquired Universal Air Filter Co. from The Riverside Co. for an undisclosed amount. Harris Williams & Co. managed the sale. Universal Air is a Sauget, Ill.-based manufacturer of customized air filter solutions.

Veronis Suhler Stevenson has acquired a majority stake in Brand Connections LLC, a New York-based provider of out-of-home media and marketing solutions, from The Cypress Group. No financial terms were disclosed. Petsky Prunier advised Brand Connections on the deal.
