Top Three

Providence Equity Partners is in preliminary talks to acquire toymaker Hasbro Inc. (NYSE: HAS), according to The Wall Street Journal.

ABP and OMERS announced the formation of INKEF Capital, a €200 million venture capital fund focused on “knowledge economy” startups in Canada and the Netherlands.

LGT Capital Partners has closed its second global secondaries fund with $1.2 billion in capital commitments. The Swiss firm manages a total of $19 billion in private equity and hedge fund investments.

VC Deals

Sencha, a Palo Alto, Calif.-based developer of an HTML5 mobile app framework, has raised $14 million in VC funding from Sequoia Capital and Radar Partners. www.sencha.com

Neurosky Inc., a San Jose, Calif.-based developer of biosensors for the consumer market, has raised $11.8 million in Series C funding. Taicom Capital led the round, and was joined by Taiwan Global BioFund and return backers WR Hambrecht & Co., Marubeni Corp. and TUVC. www.neurosky.com

Extreme Reach Inc., a Needham, Mass.-based provider of a video advertising management platform, has raised $9 million in Series B funding. The deal includes $7 million in equity from return backers Village Ventures (lead), Greycroft Partners and Long River Ventures. The remaining $2 million was “term debt.”

D.light Design, a maker of solar-powered consumer products for families without access to reliable electricity, has raised $5.5 million in Series B funding. Omidyar Network led the round, and was joined by return backers Acumen Fund, Nexus Venture Partners, Gray Matters Capital, Draper Fisher Jurvetson and Garage Technology Ventures.

PapayaMobile, a mobile social networking and gaming startup, has raised $4 million in VC funding from DCM. PapayaMobile has offices in Beijing and Menlo Park.

Nuxeo, a Paris-based provider of open-source enterprise content management solutions, has raised $3.3 million in new Series A funding led by OTC Asset Management. The total round now stands at $5.9 million.

Brightpearl, a UK-based provider of integrated, Web-based accounting solutions for SMEs, has raised $1.5 million in new VC funding from Eden Ventures and Notion Capital.

eRollover, an Atlanta-based online “consumer destination”focused on retirement, has raised an undisclosed amount of Series A funding led by Imlay Investments.

Buyouts Deals

The Blackstone Group is in talks to acquire a stake in South Korean bank Woori Finance Holdings, which is majority-owned by the South Korean government.

Oesterreichische Volksbanken, an Austrian lender, said that its supervisory board will meet today to discuss asset sales and other capital measures. The company plans to sell to an Austrian peer collapses last month.

ZelnickMedia has agreed to acquire Alloy Inc. (Nasdaq: ALOY), an entertainment and media brand for the millennial generation, for $126.5 million. All! oy stockholders would receive $9.80 per share.

PE-Backed IPOs

BioHorizons Implant Systems Inc., a Birmingham, Ala.-based dental implant company acquired by HealthpointCapital in 2006, has filed for a $100 million. It plans to trade on the Nasdaq under ticker symbol BHZN, with Piper Jaffray and Jefferies & Co. serving as co-lead underwriters. The company reports $69 million in 2009 net sales, up slightly from 2008.www.biohorizons.com

PE Exits

Ascendis Pharma AS, a Dutch biotech company focused on more efficientinsulin and HGH delivery, is up for sale, according to VentureWire. The company has raised VC funding from Sofinnova Partners, Gilde Healthcare Partners and Zweite TechnoStart Ventures Fonds GmbH. www.ascendispharma.com

PE-Backed M&A

EDGAR Online Inc. (Nasdaq: EDGR) has agreed to acquire UBmatrix Inc., a provider of XBRL-based software solutions for global organizations and enterprises. EDGAR Online shareholders include Bain Capital Ventures, while privately-held UBmatrix backers include Draper Fisher Jurvetson and the Meteor Group. The deal is valued at around $7.6 million in stock, including an agreement by UBmatrix shareholders to invest an additional $2 million into the combined company.

Groupon, a group buying site, has acquired Chilean ! deal site ClanDescuento, according to TechCrunch. No financial terms were disclosed. Groupon has raised over $165 million in VC funding, from Digital Sky Technologies, Battery Ventures, Accel Partners and New Enterprise Associates. www.groupon.com

Neoelectra Management, a biomass platform sponsored by ArcLight Capital Partners, has acquired Fuente de Piedra Gestion and Biomasa Fuente de Piedra from Spain’s Grupo Aldesa. No financial terms were disclosed.

Firms & Funds

Gemini Investors has closed its fifth fund with $60 million in capital commitments, according to a regulatory filing. The Wellesley, Mass.-based firm focuses on middle-market companies in the technology, business services, consumer services, healthcare, education, manufacturing and distribution sectors.Gemini raised $58 million for its fourth fund in 2005, which followed a $180 million third fund raised in 2000. www.gemini-investors.com

Longwood Founders Fund, a Boston-based VC firm focused on the life sciences market, has raisedover $2s million in new commitments for its debut fund. That brings the total to nearly $73 million. No total target has been disclosed. The firm’sthree founding principals are all former executives of Sitris Pharmaceuticals (acquired by GlaxoSmithKline). This includes ex-Sitris CEO Christoph Westphal, who recently took a job runningS.R. One Ltd.,GSK’s corporate venturing arm(GSK ! is believed to be a Longwood Founders investor).

Quintana Energy Group, an affiliate of Quintana Capital Group,is raising upwards of $650 million for its second fund, according to a regulatory filing. So far it has secured around $271 million in capital commitments, with C.P. Eaton serving as placement agent. The Houston-based firm makes control-oriented equity investments across the oil and natural gas, coal and power industries.www.qeplp.com

Vindi Singh Banga has joined Clayton, Dubilier & Rice as a London-based operating partner. He previously was an executive board member of Unilever PLC, and president of the company’s Foods, Home and Personal Care unit.

Andrew Harris has joined Kaye Scholer as managing partner of the law firm’s London office. He previously was with DLA Piper as a senior equity partner and head of the firm’s private equity practice.

The Ontario Teachers’ Pension Plan has promoted Mark Katz from assistant portfolio manager to portfolio manager, with responsibility for originating and executing private transactions in emerging markets.

Patricia Santos has stepped down as a director with Highland Consumer Fund, as first reported by VentureWire. She had been involved in deals for City Sports and Pharmaca, and previously worked with Club Monaco. Patty Halfen Wexler is stepping down as a principal with Elevation Partners, according to VentureBeat. In other Elevation news, Fortune.com reports that the firm is letting go an undisclosed number of back-office employees.
